Fodderly App — operated by Fodfarm Livestock Private Limited
Welcome to Fodderly! These Terms & Conditions ("Terms") form a legally binding agreement between you and Fodfarm Livestock Private Limited ("Fodfarm", "Company", "we", "us", "our", operating on behalf of itself and its affiliates/group companies under the brand "Fodderly"), a company incorporated under the Companies Act, 2013 (CIN: U46204GJ2024PTC156633), with its registered office at 705, Satyam-64, Opp. Gujarat High Court, SG Highway, Ahmedabad – 380061, Gujarat, India, and the author, publisher, owner and operator of the internet resource https://app.fodderly.in/ and the mobile application 'Fodderly' (together, the "Site" or the "App").
By creating an account, checking the consent box provided on the Site/App, or otherwise accessing or continuing to browse and use the Site, App or Services, you irrevocably accept these Terms and our Privacy Policy (available at https://app.fodderly.in/privacy-policy) and agree to be bound by them. If you do not agree with these Terms, you must not use the Site, App or Services and must discontinue use immediately.
1. Definitions
"App" / "Site" means the Fodderly mobile application and the website at app.fodderly.in, available on the Google Play Store and any successor platforms.
"Company", "Fodfarm", "we", "us", "our" means Fodfarm Livestock Private Limited, operating under the brand Fodderly.
"User", "you", "Farmer" means any individual who registers on or uses the Site/App.
"Fodderman" means an independent local delivery partner engaged by a Franchise Partner or the Company to deliver Products to Users.
"Franchise Partner" means an independently owned and operated local business or individual authorised by the Company to manufacture, stock, and/or distribute Products in a specific area.
"Products" means fodder, silage, feed, and other agricultural inputs listed for sale on the App.
"Wallet" means the closed-loop, non-transferable digital Farmer Wallet maintained within the App.
"Order" means a request placed by a User through the App to purchase Products.
"Services" means, collectively: (a) the online discovery platform for listing and trading fodder and connecting with potential purchasers; (b) the interactive community feature for exchanging information, pictures and videos; (c) the indicative fodder price calculation tool; and (d) the Order, Wallet, delivery and related services described in these Terms.
"User Content" means any content, listings, reviews, feedback, images or videos posted by a User to the Site/App.
2. Agreement to Terms & Eligibility
These Terms, together with the Privacy Policy, constitute a legally binding agreement between you (whether personally or on behalf of an entity) and the Company concerning your access to and use of the Site, App and Services.
You must be at least 18 years of age and legally competent to enter into a contract under the Indian Contract Act, 1872. Persons who are "incompetent to contract" under applicable law — including un-discharged insolvents and persons of unsound mind — may not use the Site or App. By registering, you confirm you meet this requirement.
If the Site/App is to be accessed or used by a minor (a person under 18) or a person incompetent to contract, only that person's legal guardian/representative may register as a User and create/manage the profile on their behalf. This does not discharge the guardian from liability, and the Company may proceed against the guardian and User, jointly or severally, for acts or omissions that violate these Terms.
The Company reserves the right to terminate your membership and refuse access if it discovers you are under 18 or otherwise incapable of forming a binding contract. If you represent a business entity, you confirm you have the authority to bind that entity to this Agreement.
The Site/App is intended for use within India. The information and Services are not intended for distribution to, or use by, any person or entity in any jurisdiction where such distribution or use would be contrary to local law or regulation.
The Company reserves the right at all times to discontinue or modify these Terms as it deems necessary, including adding fees or charges. Such changes are effective immediately upon posting; we recommend you review these Terms periodically (see also Clause 26 — Modification of Terms).
3. Your Account & Information
Accurate details. You represent and warrant that all registration information you submit is true, accurate, current and complete, relates to you (not a third party), and that you will keep it updated. If your address or contact details are incorrect or outdated, we cannot guarantee timely delivery and will not be liable for any resulting delay, loss or misdelivery.
Account security. Your account, OTPs, login details and password are your sole responsibility. Do not share them with anyone. Notify us immediately at support@fodderly.in if you suspect any unauthorized use of your account or user information. We are not liable for loss arising from your failure to keep credentials confidential, except where such loss is caused by our own negligence or a security failure of the App.
One account. Each User may maintain only one active account. We may verify submitted information and may suspend or terminate accounts found to be fraudulent, duplicated, or impersonating another person.
If you provide information that is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account, and may remove or change a username we determine to be inappropriate.
4. Nature of Our Services
Fodfarm operates the Site/App as a technology and discovery platform that: (a) allows Users to list fodder and connect with potential purchasers, and to view listings posted by other Users; (b) offers an interactive community feature to ask questions, exchange information, and share pictures and videos; (c) provides a calculation tool that estimates fodder prices based solely on User input data using algorithms — this is indicative only, you may use it or ignore it at your discretion, and we do not influence price determination; and (d) connects Users with Franchise Partners and Foddermen for the sale, distribution and delivery of Products.
Franchise Partners and Foddermen operate as independent, self-employed contractors or franchisees. They are not employees, agents or representatives of the Company, and the Company does not direct or control their day-to-day work. We remain committed to a fair marketplace and, in line with the Consumer Protection (E-Commerce) Rules, 2020, provide the grievance redressal mechanism described in Clause 23.
You acknowledge that the Company is merely a discovery and technology platform that may enable registered Users to access veterinary or advisory services from registered professionals or knowledgeable practitioners (where such a feature is offered). Use of the Site/App does not mean such services are provided by Fodderly itself. Where facilitated, such consultations are conducted via audio call only (not video), and the Company is not responsible for the quality or outcome of such facilitation — you avail such services at your own judgement.
Users may obtain only one consultation per booking of any online consultation service, where offered. Follow-up consultations arising from an online consultation must be routed through the Site/App.
5. Farmer Wallet Rules
App use only. Money added to or refunded into your Farmer Wallet can only be used to buy Products on the App. It is a closed-system stored value facility and cannot be withdrawn to your bank account, transferred to another user, or redeemed for cash.
No interest; not a deposit. The Wallet is not a bank account or deposit, does not earn interest, and Wallet balances are not insured or guaranteed by any deposit insurance scheme.
Inactivity. If your account remains inactive for an extended period (e.g. 24 months), we may treat any residual Wallet balance in accordance with applicable law, and will make reasonable efforts to notify you beforehand.
On termination. If your account is suspended or terminated for a violation of these Terms, we may withhold disbursement of any Wallet balance pending resolution of the matter, except where prohibited by law.
6. Orders, Delivery & Verification
Order acceptance. Placing an Order is an offer to purchase; a contract is formed only when your Order is accepted (explicitly or by delivery) by a Fodderman or Franchise Partner. We reserve the right to refuse or cancel any Order, including for Product unavailability, pricing errors, or suspected fraud.
Safe delivery. You agree to provide a safe and accessible location for Foddermen to drop off your Orders.
Verification. For any Order, a Fodderman may ask you to verify your identity or confirm receipt on the App before handing over the goods.
Delivery timelines. Timelines shown on the App are estimates and not guaranteed. We are not liable for delays caused by circumstances beyond our reasonable control (see Clause 25 — Force Majeure).
7. Pricing, Payment & Taxes
All prices displayed on the App are in Indian Rupees (INR) and, unless stated otherwise, are inclusive of applicable Goods and Services Tax (GST). We reserve the right to change prices at any time before an Order is confirmed. You may pay using the payment methods made available on the App, including the Farmer Wallet, online payment methods, or cash on delivery where offered. A valid tax invoice will be made available for each completed Order in accordance with applicable law.
8. Cancellations, Returns & Refunds
Full refunds. You will receive a full refund if your Order is still marked "Pending," our Admin cancels your Order, or the Fodderman accepts or rejects your Order.
Partial deliveries. If a Fodderman runs low on stock after your Order is placed, they may deliver only part of what you ordered. The value of undelivered items will be credited to your Farmer Wallet. If you prefer this refunded to your original payment method instead, contact us within 7 days of delivery, subject to verification.
Product issues. If you receive Products that are damaged, spoiled, or materially different from what you ordered, report this through the App or to support@fodderly.in within 72 hours of delivery, with photographic evidence where possible, so we can arrange a replacement, credit, or refund.
Refund timelines. Approved refunds to an online payment method are credited within 2–10 business days depending on your bank/payment provider. Wallet credits are applied immediately upon approval.
Non-returnable items. Given the perishable and agricultural nature of our Products, items that have been opened, used, or are not in original condition cannot be returned, except where the Product is defective or not as described.
9. Discounts & Promotional Offers
To take advantage of special offers and discounts, you must pay using your Wallet or an online payment method; discounts cannot be applied to cash payments. We may modify, suspend, or withdraw any offer at any time without prior notice, and reserve the right to reverse a discount or offer availed through fraudulent means.
10. Product Information, Use & Disclaimers
Intended use. Fodder and Products sold on the App are strictly for agricultural and livestock use. You agree to use them as intended and follow any feeding guidelines provided by the manufacturer or Franchise Partner.
No outcome guarantee. While we and our Franchise Partners take care to maintain Product quality, the Company does not guarantee any specific outcome for your livestock's health, yield, or productivity, and is not liable for loss arising from improper storage, handling, or feeding by you or any third party.
Manufacturer responsibility. Where a Product is manufactured or packaged by a third-party Franchise Partner, that Franchise Partner is responsible for its quality, safety, and statutory labelling; the Company's role is limited to facilitating sale and delivery through the App.
Advisory/community content. Some information on the Site, including material related to fodder or animal husbandry, may be provided by experienced farmers, veterinarians, or other knowledgeable practitioners, purely for informational purposes. It does not establish a veterinarian-client relationship and does not replace consultation with a qualified professional. You agree to use such information at your own discretion.
Information obtained from the Company, its employees, contractors, partners, sponsors, advertisers, licensors, or otherwise on the Site is for informational purposes only. We make no warranties as to professional qualifications, quality of work, or expertise, and are not liable for decisions or actions taken in reliance on such information. Services are not a substitute for contacting a qualified practitioner, including in emergencies.
The information provided in relation to products and/or animals is on an "as-is" basis; it is your sole responsibility to verify listed information with the seller.
11. User Content & the Fodderly Community
The community feature on the App is a platform where Users access and share information through videos, questions, listings, reviews, and general discussion ("User Content"). Your User Content may be viewed by other Users, who may see who posted it.
Fodder listings on the Site are provided "as is" for your information and personal use only and may not be copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited without the prior written consent of the respective owner.
By posting User Content, you agree we may use it for any purpose whatsoever in perpetuity without payment to you, and may combine it with other content for use within the Site, without attribution.
You warrant that your User Content complies with these Terms, and you will indemnify us for any breach of that warranty, including any resulting loss or damage.
We have the right to remove any User Content that, in our opinion, does not comply with these Terms. We are not obliged to screen, edit, or monitor User Content but reserve the right to do so, or to remove it, without notice. User Content has not been verified by us, and views expressed by other Users do not represent our views.
To complain about User Content posted by other Users, write to support@fodderly.in.
Users shall not share personal, religious, or moral views on the Site, and shall not post any query or content containing derogatory, objectionable, pornographic, or offensive material.
In the event of any breach of these Terms by a User in the community context, Fodderly may take appropriate action — ranging from warnings to removal from the Site — in its sole discretion, on a case-by-case basis. Fodderly's decision on such issues shall be final and binding.
12. User Conduct — Prohibited Activities
You agree that your use of the Site/App is governed by the following binding principles. You shall not host, display, upload, modify, publish, transmit, or share any information, and shall not engage in conduct, that:
belongs to another person and to which you have no right;
is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of privacy, hateful, or racially/ethnically objectionable, or relates to money laundering or gambling, or is otherwise unlawful;
is false, misleading, or misrepresents your experience, skills, or information about yourself;
involves transmission of junk mail, chain letters, or unsolicited mass mailing/spamming;
promotes illegal activity or is abusive, threatening, obscene, defamatory, or libellous;
infringes any third party's intellectual property, privacy, or publicity rights;
provides instructional information about illegal activities (e.g. making/buying illegal weapons, violating privacy, creating computer viruses);
contains images or video of another person (minor or adult) without consent;
attempts to gain unauthorized access to the Site, App, accounts, or other users' information, or solicits passwords/personal data for commercial or unlawful purposes;
interferes with another user's use of the Site, App, or Services, or creates an undue burden on our systems and networks;
threatens India's unity, integrity, defence, security or sovereignty, friendly relations with foreign states, or public order, or incites a cognizable offence;
systematically retrieves data to compile a database without our written permission;
uses a buying/purchasing agent to make purchases, or resells Products purchased through the App for commercial gain without our prior written consent;
circumvents or interferes with security-related features, or copy-protection/use limitations of the Site or App;
engages in unauthorised framing of or linking to the Site;
tricks, defrauds, or misleads us or other Users, including attempts to learn account passwords;
submits false reports of abuse or misconduct, or misuses our support services;
engages in automated use of the system (scripts, bots, scrapers, data-mining tools, or similar);
impersonates another user or person, or sells/transfers your profile;
uses information obtained from the Site to harass, abuse, or harm another person, including any Fodderman, Franchise Partner, or Company representative;
competes with us or creates a revenue-generating enterprise using the Site or our content;
reverse-engineers, decompiles, disassembles, or otherwise interferes with the Site's, App's, or trademarks' underlying software or security;
disparages or otherwise harms, in our opinion, the Company, Site, or App;
threatens users with negative feedback, or advertises products/services not intended by us;
falsely implies a relationship with us or another company; or
uploads or transmits viruses, Trojan horses, or other harmful material.
We may monitor communications for words associated with spam or scams. Unauthorized use of the Services is a violation of these Terms and may subject you to civil and criminal penalties. We reserve the right, in our sole discretion, to monitor for breaches, take legal action, restrict or disable accounts, remove excessive or burdensome content, and otherwise manage the Site/App to protect our rights and the proper functioning of the Services.
13. Links to Third-Party Content
The Site/App may contain links to websites or applications operated by third parties. We have no influence or control over such third-party sites/applications and are not liable or responsible for their content, accuracy, validity, reliability, or quality. Inclusion of a link does not imply endorsement. You use such links and services at your own risk.
We accept no responsibility for advertisements contained within the Site. If you purchase goods/services from a third party advertising on the Site, you do so at your own risk; the advertiser — not us — is responsible for such goods/services.
14. Intellectual Property Rights
The App and Site, including their design, logos, trademarks (including "Fodderly" and "Fodfarm"), source code, databases, functionality, software, text, graphics, audio, video, and photographs ("Our Content"), are owned by or licensed to the Company and protected by applicable copyright, trademark and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the App/Site and Our Content, and to download or print a copy of any portion for your personal, non-commercial use only. You may not copy, modify, distribute, republish, sell, license, reverse-engineer, decompile, disassemble, or create derivative works from the App, Site, or Our Content without our prior written permission.
You shall not attempt to gain unauthorised access to the Site/App or connected networks/servers, nor make modifications, adaptations, or enhancements to the Site or Our Content.
The Site may display third-party trademarks; use of these may be subject to licences granted to Fodderly by third parties, and nothing herein grants you any rights in relation to them.
We use industry-standard virus detection software to try to block harmful content, and prepare the Site and Our Content with reasonable skill and care; however, content on the Site is provided for general information only and is not a substitute for professional or specialist advice.
15. Communications & Consent
Order updates. By registering, you consent to receive SMS, WhatsApp messages, RCS, calls, or push notifications from us regarding Order status, delivery tracking, payments, and account security. These are transactional communications necessary for the Services and cannot be opted out of while your account is active.
Offers & discounts. We may occasionally send promotional messages about new Products or offers. You may opt out of marketing messages at any time via App settings or by contacting us, without affecting your ability to use the Services.
Visiting the Site/App, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications from us, and agree that electronic agreements, notices, and disclosures satisfy any legal requirement that such communication be in writing. You waive any requirement under applicable law for an original signature or non-electronic record-keeping.
16. Privacy & Data Protection
Sharing with partners. To fulfil your Order, we share your name, phone number, and address with the relevant Franchise Partner and assigned Fodderman. We do not sell your personal information to unrelated third parties.
Our collection, use, storage, and protection of your personal data is further described in our Privacy Policy, which forms part of these Terms. We process personal data in accordance with the Digital Personal Data Protection Act, 2023 and other applicable Indian data protection law. You may contact our Grievance Officer (Clause 23) to exercise your rights, including access, correction, and withdrawal of consent, subject to applicable law.
17. Site/App Availability & Modifications
We reserve the right to change, modify, or remove the contents of the Site/App at any time, or to modify or discontinue all or part of the Services, without notice.
We cannot guarantee the Site/App will be available at all times and may experience downtime for maintenance or technical reasons. We have no liability for loss, damage, or inconvenience caused by your inability to access or use the Site/App during any downtime.
Information on the Site may contain typographical errors, inaccuracies, or omissions (including as to descriptions, pricing, and availability). We reserve the right to correct these and to update information at any time without prior notice.
We do not guarantee the Site will be secure or free from bugs or viruses. You are responsible for configuring your own IT systems and using your own virus protection software.
18. Disclaimer / Limitation of Liability
To the maximum extent permitted by applicable law, the Company's total liability to you arising out of or relating to these Terms or your use of the App/Site, whether in contract, tort, or otherwise, shall not exceed the amount you paid for the specific Order giving rise to the claim.
The Company shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of livestock, loss of profits, or loss of anticipated yield — arising from your use of the App, Site, or any Product, except to the extent such liability cannot be excluded under applicable Indian law, including the Consumer Protection Act, 2019.
Without limiting the foregoing, in no event shall the Company or its directors, officers, employees, agents, or content/service providers be liable for: (a) provision of, or failure to provide, any service by Franchise Partners, Foddermen, or Practitioners contacted through the Site/App; (b) any content posted, transmitted, exchanged, or received by or on behalf of any User or third party on or through the Site; or (c) any unauthorised access to or alteration of your transmissions or data.
You understand that using the Site/App exposes you to content from a variety of sources, and the Company is not responsible for the accuracy, usefulness, safety, or intellectual property status of such content. You may encounter content that is inaccurate, offensive, or objectionable, and you waive any legal or equitable rights or remedies you may have against the Company in that respect.
Fodderly is not liable for infringement of intellectual property rights arising from materials posted, transmitted, or advertised on the Site/App by Users or third parties. Rights owners (or their authorised agents) may submit a takedown notification to Fodderly requesting removal of infringing content in good faith.
19. Indemnification
You agree to indemnify and hold harmless the Company, its officers, directors, employees, and Franchise Partners from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the App/Site, or your violation of any applicable law or third-party right, including in relation to User Content you post.
20. Severability
If any provision of these Terms is held by a court of competent jurisdiction or arbitral tribunal to be invalid or unenforceable under applicable law, that provision shall be excluded and the remainder of these Terms shall continue in full force and effect, interpreted so as to give effect, to the greatest extent permitted by law, to the intention of the excluded provision.
21. Term, Suspension & Termination
These Terms remain in effect while you use the Site, App, or Services. You may terminate your use at any time by following the account-closure instructions in your account settings (if available) or by contacting us at support@fodderly.in.
We may, in our sole discretion and without notice or liability, deny access to or use of the Site/App/Services (including blocking IP addresses) or suspend/terminate your account, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a risk to the Company, our partners, or other Users.
If we terminate or suspend your account, you are prohibited from re-registering under your name, a fake or borrowed name, or a third party's name, even on that third party's behalf. We reserve the right to pursue appropriate legal action, including civil, criminal, and injunctive redress.
On termination, any undisputed Wallet balance will be handled in accordance with Clause 5 and, where legally required, refunded through a verifiable payment method.
22. Grievance Redressal & E-Commerce Compliance
In furtherance of the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, as amended, the Company has appointed the following officers. The Company does not adopt unfair trade practices as defined under Section 2(47) of the Act. Complaints will be acknowledged within 48 hours and we endeavour to resolve them within 30 days of receipt.
These Terms, their subject matter, and their formation are governed by the laws of India. Subject to Clause 22 (Grievance Redressal), any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be referred to arbitration before a sole arbitrator appointed by the Company, in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Ahmedabad, Gujarat, and proceedings shall be conducted in English. Subject to the foregoing, the courts at Ahmedabad, Gujarat shall have exclusive jurisdiction.
24. Force Majeure
We shall not be liable for any failure or delay in performance, loss, or damage caused by circumstances beyond our reasonable control, including natural disasters, adverse weather, strikes, government action, pandemics, internet or telecommunications failures, or disruption to transport networks.
25. Modification of Terms
We may update or modify these Terms and any operating rules posted on the Site/App from time to time to reflect changes to our Services, applicable law, or business priorities. We will notify you of material changes through the App or via the contact details you have provided. Your continued use of the Site/App after such changes take effect constitutes acceptance of the revised Terms. We suggest you review these Terms periodically.
26. General Provisions
Entire agreement: These Terms, together with our Privacy Policy and any posted operating rules, constitute the entire agreement between you and the Company regarding your use of the Site/App.
No waiver: Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of that right or provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms or any of our rights/obligations at any time, including in connection with a merger, acquisition, or sale of assets.
No agency: No joint venture, partnership, employment, or agency relationship is created between you and us as a result of these Terms or your use of the Site/App.
Language: These Terms are drawn up in English. Any translation provided for convenience shall not override the English version in case of discrepancy.
